Thoughtroom — Terms of Service

A plain-language summary (the full Terms below are what you agree to): Thoughtroom is a voice journaling app with an AI companion named Olivia. Olivia is an AI, not a human, and not a therapist, doctor, or crisis service. Thoughtroom is not for emergencies — if you are in danger, contact emergency services or a crisis line. You must be 18 or older. Your journal belongs to you; we only use it to run the app for you. If you live in the United States, disputes are resolved by individual arbitration unless you opt out within 30 days.
IMPORTANT NOTICE — PLEASE READ: OLIVIA AND ALL AI FEATURES IN THOUGHTROOM ARE ARTIFICIAL INTELLIGENCE, NOT HUMAN BEINGS. THOUGHTROOM DOES NOT PROVIDE THERAPY, PSYCHOTHERAPY, COUNSELING, MEDICAL CARE, OR ANY LICENSED HEALTH SERVICE, AND IS NOT A SUBSTITUTE FOR THEM. THOUGHTROOM IS NOT AN EMERGENCY OR CRISIS SERVICE. IF YOU ARE A UNITED STATES RESIDENT, SECTION 17 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Who we are
Thoughtroom (“Thoughtroom”, “we”, “us”) is operated by Ezel Bayraktar, an independent developer based in Türkiye. You can reach us at help@thoughtroom.app.
2. Your agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and us. You accept them by checking the agreement box and creating an account or signing in, or by continuing to use Thoughtroom after we notify you of updated Terms. If you do not agree, do not use Thoughtroom. Our Privacy Policy explains how we handle your information and is part of your agreement with us.
3. What Thoughtroom is — and what it is not
Plainly: Thoughtroom is a wellbeing journal with an AI companion. It is a self-help tool, not health care.
What Thoughtroom is. Thoughtroom lets you keep a voice journal, receive AI-generated reflections, talk with Olivia — an AI conversation companion — by text or voice, and see patterns in what you write. Thoughtroom is a general-wellness and self-reflection product.
What Thoughtroom is not:
- Olivia is not a human. Olivia and every response, reflection, letter, and insight in Thoughtroom are generated by artificial intelligence.
- Thoughtroom is not therapy. Thoughtroom does not provide, and does not claim to provide, therapy, psychotherapy, counseling, psychiatric or psychological services, medical advice, diagnosis, or treatment. Olivia is not a therapist, psychologist, psychiatrist, counselor, doctor, or any kind of licensed professional, and no statement in the app should be read as coming from one.
- No professional relationship is formed. Using Thoughtroom does not create a therapist–client, doctor–patient, or any other professional or fiduciary relationship between you and us.
- Thoughtroom is not a medical device. Thoughtroom is not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.
- Thoughtroom is not an emergency service and cannot contact emergency services for you.
If you have, or believe you may have, a mental-health condition, please work with a qualified professional. Thoughtroom can sit alongside real care — it can never replace it.
4. If you are in crisis
Thoughtroom cannot help you in an emergency. If you are thinking about harming yourself or someone else, or you are in immediate danger, stop using the app and contact:

Thoughtroom includes automated safety features, but no automated system can reliably recognize every crisis, and no human monitors your conversations in real time. You agree not to rely on Thoughtroom to detect or respond to an emergency.
5. Who may use Thoughtroom
You must be at least 18 years old and legally able to enter this agreement. Thoughtroom is not directed to minors, and you may not use it if you are under 18. By using Thoughtroom you confirm that you meet these requirements.
6. Your account
You sign in with your Apple account. Keep your device and account secure — you are responsible for activity under your account. Give us accurate information. You may delete your account at any time in Settings (see Section 13).
7. Your content
Plainly: your journal is yours. We only use it to run Thoughtroom for you. Private Mode content never reaches us at all.
Ownership. You own your recordings, transcripts, journal entries, and conversations (“Your Content”).
Our license. So that Thoughtroom can work, you grant us a limited, revocable, non-exclusive license to host, store, transmit, process, and display Your Content — solely to operate, secure, and improve the service for you: transcribing your recordings, generating entries and reflections, powering Olivia’s memory of your journal, running safety screening, and syncing across your devices. This license ends when you delete the content or your account, except as described in our Privacy Policy (for example, limited legal records and brief backup windows).
What we will not do. We do not sell Your Content, use it for advertising, or use it to train our own AI models. We share it only with the service providers listed in our Privacy Policy, only as needed to run Thoughtroom.
Private Mode. When Private Mode is on, your entries and Olivia conversations are processed entirely on your device and are never sent to us. We cannot access, restore, or transfer Private Mode content — if you lose your device or delete the app, that content cannot be recovered by us.
8. AI-generated content and its limits
Plainly: AI gets things wrong. Treat Olivia as a thoughtful companion, never as an authority.
You understand and agree that:
- Olivia’s responses and all AI-generated content are produced by statistical models. They can be inaccurate, incomplete, outdated, or inappropriate for your situation, and may occasionally be unsettling or wrong in ways we cannot predict.
- AI output is not advice — not medical, psychological, legal, financial, or professional advice of any kind — and you agree not to treat it as such or to act on it in place of the judgment of a qualified professional.
- You will not present Thoughtroom output to others as the work or opinion of a licensed professional.
- We use automated safety systems that screen conversations and may decline to respond to certain content. These systems are imperfect; they may block things they shouldn’t and miss things they should catch. Their presence is not a promise of protection.
- Thoughtroom may show you reminders that Olivia is an AI and surface crisis resources. You agree we may do so and that these features may change.
9. Acceptable use
You agree not to:
- use Thoughtroom for emergencies, or as your sole support for a mental-health condition;
- attempt to make the AI produce content that is illegal, or that harms you or others, or use Thoughtroom to plan or encourage harm;
- use Thoughtroom on behalf of a person under 18, or let a minor use your account;
- reverse engineer, scrape, probe, or disrupt the service, or access it by any means other than the app (except where the law grants you rights we cannot exclude);
- infringe anyone’s rights, or upload content you don’t have the right to record (obey your local recording-consent laws when recording others);
- resell or commercially exploit the service or its output as a health or counseling service.
We may suspend or limit accounts that violate these rules or put the service or other people at risk.
10. Subscriptions — Thoughtroom Pro
Thoughtroom offers an optional auto-renewing subscription (“Thoughtroom Pro”) purchased through Apple:
- The price and period are shown before you buy. Payment is charged to your Apple account.
- Your subscription renews automatically unless you cancel at least 24 hours before the end of the current period, in Settings → Apple Account → Subscriptions.
- Refunds are handled by Apple under Apple’s terms (reportaproblem.apple.com). Where the law of your country gives you mandatory refund rights (for example under the Australian Consumer Law or UK consumer law), nothing in these Terms reduces them.
- Free-tier features and usage limits may change over time. We will not materially reduce a paid feature mid-subscription without a remedy such as a pro-rata refund.
11. Our intellectual property
Thoughtroom — the app, its design, software, names, and logos — belongs to us and our licensors. We grant you a personal, non-transferable, non-exclusive, revocable license to use the app on Apple devices you own or control, as permitted by the App Store terms. If you send us feedback, we may use it without obligation to you.
12. Third-party services
Thoughtroom relies on third parties — including Apple (sign-in, purchases), AI infrastructure providers, and a voice-conversation provider — listed in our Privacy Policy. Their services are governed by their own terms. We are not responsible for third-party services we do not control, but we choose and contract with processors as described in our Privacy Policy.
13. Ending the agreement
You can stop using Thoughtroom at any time and delete your account in Settings → Delete Account. Deletion permanently erases your journal and conversations as described in the Privacy Policy.
We may suspend or terminate your access if you materially breach these Terms, if we must do so by law, or if continuing poses a security or safety risk — with notice where reasonably possible. If we discontinue Thoughtroom entirely, we will give reasonable advance notice and you will have the chance to export your journal.
Sections that by their nature should survive (including 3, 4, 7–8, 14–18, 20–21) survive termination.
14. Disclaimers of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THOUGHTROOM IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED — INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE, SAFE, OR SUITABLE FOR YOU.
Your statutory rights. Some places do not allow these exclusions. If you are a consumer in the United Kingdom, the European Union, or elsewhere with non-excludable statutory rights, those rights are unaffected. For Australian consumers: Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your contract with us and to a refund for the unused portion, or to compensation for its reduced value; you are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure is not major, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THOUGHTROOM IS LIMITED TO THE GREATER OF US $50 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or any liability that cannot be limited or excluded under the law that applies to you (including the Australian Consumer Law and UK consumer law).
16. Your responsibility to us
You will compensate us for losses and reasonable legal costs arising from third-party claims caused by your unlawful use of Thoughtroom or your material breach of Sections 7 or 9 — except to the extent we caused the loss. This section does not apply where the consumer-protection law of your home country does not permit it.
17. Dispute resolution — and arbitration for U.S. residents
Talk to us first. Before any formal proceeding, email help@thoughtroom.app with a description of the issue. We will try in good faith to resolve it within 30 days. Most problems get solved this way.
If you live in the United States, you and we agree that any dispute arising out of or relating to Thoughtroom or these Terms will be resolved by binding individual arbitration, not in court, except that (a) either party may bring an individual claim in small-claims court, and (b) either party may seek injunctive relief for intellectual-property misuse. The Federal Arbitration Act governs this section.
- Arbitration is administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, by one arbitrator, in the county where you live or remotely by video, in English. AAA’s consumer fee schedule applies; if your claim is under US $10,000 we will pay filing and arbitrator fees not required to be paid by you, unless the arbitrator finds the claim frivolous.
- Class action and jury trial waiver. Disputes will be arbitrated only on an individual basis. NEITHER YOU NOR WE MAY PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING, AND BOTH OF US WAIVE THE RIGHT TO A JURY TRIAL. If the class waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the rest of this section still applies.
- 30-day opt-out. You can reject this arbitration agreement, with no penalty, by emailing help@thoughtroom.app within 30 days of first accepting these Terms, with the subject “Arbitration opt-out”, from the email associated with your account.
If you live outside the United States, this arbitration section does not apply to you. You may bring claims in the courts of the country where you live, and you keep the protection of your local consumer law.
18. Governing law
These Terms are governed by the laws of Türkiye, except: for U.S. residents, the Federal Arbitration Act and the law of your state of residence govern; and wherever you live, you always keep the benefit of mandatory consumer-protection rules of your home country (including the UK, Australia, and Canadian provinces).
19. Changes to these Terms
We may update these Terms as Thoughtroom and the law evolve. For material changes we will notify you in the app and ask you to review and accept the new version before continuing; the effective date and version history are always shown at https://thoughtroom.app/terms. If you do not accept, you may stop using Thoughtroom and delete your account.
20. Apple App Store terms
These Terms are between you and us — not Apple. Apple has no obligation to provide maintenance or support for Thoughtroom. If Thoughtroom fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing claims relating to Thoughtroom, including product-liability claims, legal or regulatory compliance claims, or consumer-protection claims, or third-party claims that Thoughtroom infringes intellectual-property rights. You represent that you are not located in a country subject to a U.S. Government embargo or designated a “terrorist supporting” country, and are not on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms when using Thoughtroom. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
21. General
If part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms; we may assign them to a successor of the Thoughtroom business (for example, a company we form), with notice to you. These Terms, together with the Privacy Policy, are the entire agreement between us about Thoughtroom. “Including” means “including without limitation.”
